Can I establish a company if I am already employed?
Yes, it is possible to establish a company and be employed simultaneously. The law does not prohibit employed individuals from establishing and managing their own business or conducting activities as entrepreneurs.
Can my spouse be held liable for my obligations as the founder of the LLC company?
In Serbia, founders of a limited liability company generally do not bear personal liability for the obligations of the company. This means that founders do not bear responsibility with their own assets for the obligations of the LLC company, but only up to the extent of the invested capital or share in the company.
However, there are several situations in which a spouse could be held liable for the obligations of the LLC company established by their spouse: 1) If the spouse provides a guarantee or surety for the obligations of the LLC company established by their spouse, 2) If the spouses have joint finances or assets, the court may decide to use joint property to settle the obligations of the LLC company, 3) If there is evidence of irregular business practices or abuse of the limited liability company, the court may decide to extend liability to the spouse who directly participated in such activities.
What if the company, LLC, does not have funds in the account? Can it be closed?
In a situation where the company does not have sufficient funds in its account, if it is in arrears and lacks funds to settle its debt, there are several ways in which the company can be closed. If the company has no debts, it can initiate liquidation proceedings, which involve the process of closing the company, conducted when the company decides to cease operations. If the company has debts, bankruptcy proceedings are initiated. Within the bankruptcy process, the company’s assets will be sold to satisfy creditors, followed by the closure of the company.
Can I change the legal form of the business entity?
Yes, in Serbia, it is possible to change the legal form of a business entity, but the process of changing the legal form can be complex and require certain legal procedures.
Can a foreigner establish a company in Serbia?
Yes. A person who is not a citizen of Serbia can establish a company in Serbia personally or through a proxy-attorney with the help of a special power of attorney.
What is an economic offense?
An economic offense is an action or omission that violates regulations governing the operations of business entities or other economic activities. Economic offenses often involve non-compliance with legal regulations related to the operations of companies, entrepreneurs, or other economic entities. For each economic offense, there is an appropriate sanction, which may be in the form of a monetary fine, administrative measures, prohibition of performing certain jobs or activities.
